PARTICULAR ORDER TERMS AND CONDITIONS. 

  1. Subject matter of the present offer: The subject matter of the present contract is the marketing of aluminium profiles, treatments, finishes and accessories, as per the order placed, and all that is included in the present clauses.
  2. Scope of application: These terms and conditions shall only be applicable in the business relationship established between Extrual, as supplier and manufacturer of products, and the Client. Nevertheless, these terms and conditions may be amended by express written agreement between the parties.
  3. Dies, profiles and samples: Dies are the exclusive property of Extrual. The Client accepts that dies are an internal and private manufacturing element of Extrual with its own technology, as well as that the same dies have been undertaken with the intervention of Extrual technicians and personnel, relying on the know-how of the company, adapting the means and production techniques thereof with the aforementioned dies, being these techniques being classified as a business secret, Therefore, any knowledge by third parties unrelated to the present contract, as regards the production or adaptations of the dies and/or the profiles, shall entail a clear competitive discredit in the market, reason why both parties accept that these dies shall never leave the facilities of Extrual, with Extrual reserving the right to exercise howeversomany actions as it deems appropriate for the breach of this term and condition.
  4. Form of the orders: Orders shall be made in writing, leaving a clear record of the product, concept, finish, tolerance, length, alloy, exact quantity and Extrual reference. Extrual shall forward to the Client a document with the content of the order (payment terms and conditions, delivery deadlines, address, price and references), in order to be reviewed and returned signed by the Client, at which time the order shall be understood as confirmed. The delivery deadlines shall be understood as weeks, commencing after the receipt by Extrual of the order confirmation, being able to be amended, cancelled or not accepted due to unforeseen circumstances beyond the normal operation of Extrual, such as total or partial strike, accidents, suspensions, and analogous situations, without the Client being able to claim any compensation whatsoever. The quantities delivered may have an approximate tolerance of 10%.

  1. Delivery, product warranties and claims: The products shall be delivered at the address specified by the Client, being the Client’s responsibility the unloading of the products. Extrual manufactures its products according to the current legislation and the Client’s instructions. Extrual warrants its products for a period of 12 months against manufacturing defects, provided that the products have not been altered or modified by personnel external to Extrual, Extraul shall not be held liable for damages or defects resulting from misuse, tampering, modification, accident or incorrect maintenance by the Client or a third party. The Client has a period of 30 days from the receipt of the product to reliably state any disagreement to Extrual, which shall only be assumed when Extrual has verified that its handling and installation has been correct. The Client must correctly identify the order, submitting his/her/its claim directly to Extrual’s Commercial or Customer Service Departments. Once this period has elapsed, it shall be understood that there are no non-conformities or defects.
  2. Price and method of payment: The prices and payment terms and conditions are described in the offer, as well as in the order confirmations and invoices.
    The prices included in the offer and order confirmation do not include VAT, unless expressly specified, and may be subject to monthly variations depending on the fluctuations of the LME and EUR/USD, a circumstance which shall be notified to the Client. The non-payment, albeit total or partial, of the price by the Client, of any invoice submitted after the established payment deadline has elapsed, its situation of insolvency or supervening bankruptcy, suspension of payments or any other analogous situation, shall entitle Extrual to stop orders, deliveries and production, not restarting until the complete and effective payment of the amounts owed, the Client waiving any compensation for the losses and damages that this stoppage may have occasioned thereto.

  1. Assignment: Both parties hereby undertake not to assign the rights and obligations of the present contract, unless expressly authorised, or that such assignment is made with companies which are part of the same group or business family.
  2. Personal data: The personal data of the Client shall be included in several automated files owned by Extrual, with the purpose of managing the products offered as well as the normal development of the commercial relationship. The Client may exercise his/her/its rights of access, rectification, cancellation and opposition against Extrual in the address specified for that purpose.
  3. EXTRUSION, LACQUERING, WOOD, ANODISING, SURFACE TREATMENT, MACHINING AND CUTTING, BREAKAGE, PACKAGING, PROFILES AND ACCESSORIES

10.1. Extrusion: 

  • The minimum quantity for an extrusion order is 300 kg, in the event that the weight of the profile is greater than 2.5 kg/m the minimum order shall be 1,000 kg; unless other quantities are expressly agreed in the offer. 
  • Tolerance: approximately and as an example, +- 10% on the quantities requested. 
  • Bar length: this offer is valid for lengths between 6 and 7 metres. If other lengths are required, these must be specified in order to study their feasibility and cost. 
  • Geometry: this shall comply with the UNE-EN-755-9 or 12020-2 Standard, always as per the plan drawn up by Extrual and approved by the Client. 
  • In the event that the Client requests an exact quantity of bars for a profile and finish/length, the finish for the excess of bars manufactured over the exact quantity in the same length shall be specified.

10.2. Lacquering: 

  • The minimum quantity shall be 75 m2, in the event that the Client requests an order below the specified minimum, the Forfait shall be applied. Length: this offer is valid for lengths between 5 and 7 metres. If other lengths are required, these must be specified in order to study their feasibility and cost. 
  • Surcharges: When the length of the profile is between 4 and 4.99 m, a 25% surcharge shall be applied. When the length of the profile is between 3 and 3.99 m, a 40% surcharge shall be applied. 
  • Characteristics: these shall comply with the QUALICOAT international quality standard, with a hole at one end and a chuck mark at the opposite end, both of which are essential in our lacquering process. 
  • Veneers lacquering: shall be carried out in EN AW-1050 or 3150 aluminium alloy, having a minimum size of 2000×800 and a maximum size of 3000 x 1250 mm, with 4 holes near its four corners, essential for its fastening in the lacquering process

10.3. Wood: 

  • Length: the wood effect lacquered bar shall be between 4 and 6.5 metres. If other lengths are required, these shall be specified in order to study their feasibility and cost. 
  • Characteristics: shall comply with the QUALIDECO international quality standard. 
  • Veneer lacquering: shall be carried out on lacquered veneers in EN AW-1050 or 3150 aluminium alloy, flat without stamping, with a minimum size of 2000×800 and a maximum size of 3000 x 1250 mm. with 4 holes near its four corners, essential for its fastening in the lacquering process. *Unless specifically stated otherwise in the offer. 

10.4. Anodising: 

  • The minimum quantity for this offer must be equal to or greater than 90 m2 in silver and 70m2 in colour. 
  • Length: this offer is valid for lengths between 5.5 and 7 metres. If other lengths are required, these must be specified in order to study their feasibility and cost. 
  • Price increases for micron rating variation: 10 μ -10%; 20 μ +20%; 25 μ 40%. 
  • Price increases for lengths less than 5.5 metres: 1<2 m +60%; 2<3 m +50%; 3<4m 40%; 4<5.5 m 25%; 5.5<7 m 0%.. 
  • Characteristics: shall comply with the EURAS EWAA/QUALANOD international quality standard. 
  • The anodised material shall have fastening marks of approximately 5 cm at both ends, in certain profiles that may cause an excessive deflection in the centre of its length and it shall be necessary to place a fastening that shall result in a small mark in that area. 
  • Veneer anodising: shall be carried out in ENAW-5005 aluminium alloy, with a minimum size of 2000×800 and maximum size of 3000 x 1500 mm, the veneers shall have certain small marks on the smaller sides, essential for its fastening in the anodising process.

10.5. Surface Treatment: 

  • Minimum quantity: 
  • Minimum price for grinding is €3 per sale/profile and Order (equivalent to 4 bars of 6m, with 2 visible sides per profile). 
  • The minimum price for polishing is €13.55 per sale/profile and Order (equivalent to 12 bars of 6m, with 2 visible sides  per profile) 
  •  Bar length: 
  • Grinding: minimum 4 metres. 
  • Polishing: minimum 4 metres.

  • The offer is valid for the proposed packaging options. For any other type, its feasibility and cost must be studied. 
  • Packaging in shrink-wrapped and strapped profile bundle packs, 30 cm base.

  • Palletising.
